digital infrastructure and platform solutions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57bfce0 elementor-widget elementor-widget-text-editor\" data-id=\"57bfce0\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h5 data-section-id=\"k18ylf\" data-start=\"310\" data-end=\"336\">1. Scope of Application<\/h5><p data-start=\"338\" data-end=\"679\">These General Terms and Conditions (GTC) apply to all services provided by <strong data-start=\"413\" data-end=\"427\">get2e GmbH<\/strong> (hereinafter referred to as the \u201cContractor\u201d) in connection with the provision, implementation, operation, and further development of digital infrastructure and platform solutions, in particular unified commerce, service, and location-based solutions.<\/p><p data-start=\"681\" data-end=\"778\">They apply to entrepreneurs, legal entities under public law, and special funds under public law.<\/p><p data-start=\"780\" data-end=\"877\">Any deviating terms and conditions of the Client shall only apply if expressly agreed in writing.<\/p><h5 data-section-id=\"hkbvss\" data-start=\"884\" data-end=\"920\">2. Subject Matter of the Contract<\/h5><p data-start=\"922\" data-end=\"1068\">The Contractor provides services in the field of planning, implementation, provision, and operation of digital system and service infrastructures.<\/p><p data-start=\"1070\" data-end=\"1213\">The specific scope of services shall be defined in the respective offer or contract, including the associated annexes and service descriptions.<\/p><p data-start=\"1215\" data-end=\"1259\">Typical services may include, in particular:<\/p><ul data-start=\"1261\" data-end=\"1620\"><li data-section-id=\"ns68ej\" data-start=\"1261\" data-end=\"1338\">Development and operation of digital platform and service infrastructures<\/li><li data-section-id=\"1wnmv43\" data-start=\"1339\" data-end=\"1389\">Integration of merchants, services, or systems<\/li><li data-section-id=\"ob2t4y\" data-start=\"1390\" data-end=\"1458\">Implementation of reservation, booking, and collection processes<\/li><li data-section-id=\"9yt7hg\" data-start=\"1459\" data-end=\"1511\">Provision of software and system functionalities<\/li><li data-section-id=\"1bzm9v1\" data-start=\"1512\" data-end=\"1574\">Operation, maintenance, and further development of systems<\/li><li data-section-id=\"weirnb\" data-start=\"1575\" data-end=\"1620\">Technical assistance and support services<\/li><\/ul><p data-start=\"1622\" data-end=\"1744\">The Contractor owes the agreed services in accordance with the offer but does not guarantee any specific economic success.<\/p><h5 data-section-id=\"ij22vm\" data-start=\"1751\" data-end=\"1788\">3. Service Provision and Operation<\/h5><p data-start=\"1790\" data-end=\"1877\">The services shall be provided in a stable, professionally operated system environment.<\/p><p data-start=\"1879\" data-end=\"1913\">Operation includes, in particular:<\/p><ul data-start=\"1915\" data-end=\"2193\"><li data-section-id=\"by1l4a\" data-start=\"1915\" data-end=\"1953\">Provision of system infrastructure<\/li><li data-section-id=\"1d5ngz0\" data-start=\"1954\" data-end=\"1986\">Continuous system monitoring<\/li><li data-section-id=\"9pmltl\" data-start=\"1987\" data-end=\"2027\">Maintenance and servicing of systems<\/li><li data-section-id=\"r9ht1j\" data-start=\"2028\" data-end=\"2079\">Implementation of updates and security measures<\/li><li data-section-id=\"oumm2x\" data-start=\"2080\" data-end=\"2142\">Technical support in the event of questions or disruptions<\/li><li data-section-id=\"frzuz7\" data-start=\"2143\" data-end=\"2193\">Continuous further development of the platform<\/li><\/ul><p data-start=\"2195\" data-end=\"2311\">The Contractor is entitled to engage suitable technical service providers or partners for the provision of services.<\/p><h5 data-section-id=\"iyiusr\" data-start=\"2318\" data-end=\"2343\">4. System Availability<\/h5><p data-start=\"2345\" data-end=\"2452\">The Contractor shall provide the systems with due care and in accordance with the current state of the art.<\/p><p data-start=\"2454\" data-end=\"2511\">However, uninterrupted availability cannot be guaranteed.<\/p><p data-start=\"2513\" data-end=\"2568\">Temporary limitations may occur, in particular, due to:<\/p><ul data-start=\"2570\" data-end=\"2730\"><li data-section-id=\"1qqp15g\" data-start=\"2570\" data-end=\"2590\">Maintenance work<\/li><li data-section-id=\"1otxl7z\" data-start=\"2591\" data-end=\"2609\">System updates<\/li><li data-section-id=\"1vkla4q\" data-start=\"2610\" data-end=\"2636\">Technical malfunctions<\/li><li data-section-id=\"16yv32h\" data-start=\"2637\" data-end=\"2712\">External influences (e.g., internet connections or third-party systems)<\/li><li data-section-id=\"9mnab8\" data-start=\"2713\" data-end=\"2730\">Force majeure<\/li><\/ul><p data-start=\"2732\" data-end=\"2825\">Planned maintenance work shall, where possible, be carried out outside normal business hours.<\/p><h5 data-section-id=\"1yd7a4i\" data-start=\"2832\" data-end=\"2888\">5. Obligations to Cooperate (Client Responsibilities)<\/h5><p data-start=\"2890\" data-end=\"3015\">The Client undertakes to provide all information, data, and contact persons required for service delivery in a timely manner.<\/p><p data-start=\"3017\" data-end=\"3046\">This includes, in particular:<\/p><ul data-start=\"3048\" data-end=\"3295\"><li data-section-id=\"vm9w4z\" data-start=\"3048\" data-end=\"3105\">Provision of the required master data and information<\/li><li data-section-id=\"19wz6p8\" data-start=\"3106\" data-end=\"3152\">Designation of responsible contact persons<\/li><li data-section-id=\"o0fdk\" data-start=\"3153\" data-end=\"3194\">Support in the integration of systems<\/li><li data-section-id=\"1vlaen\" data-start=\"3195\" data-end=\"3247\">Participation in tests and acceptance procedures<\/li><li data-section-id=\"hj0msb\" data-start=\"3248\" data-end=\"3295\">Ensuring the technical requirements on site<\/li><\/ul><p data-start=\"3297\" data-end=\"3376\">Delays caused by missing cooperation shall extend agreed timelines accordingly.<\/p><h5 data-section-id=\"2afluv\" data-start=\"3383\" data-end=\"3420\">6. Integration of Systems and Data<\/h5><p data-start=\"3422\" data-end=\"3598\">The integration of existing systems (e.g., POS systems, inventory management systems, or web shops) shall be carried out on the basis of standardized interfaces and procedures.<\/p><p data-start=\"3600\" data-end=\"3714\">The Contractor shall not be obliged to make individual adjustments to third-party systems unless expressly agreed.<\/p><p data-start=\"3716\" data-end=\"3828\">Responsibility for the accuracy and timeliness of the provided data lies with the respective provider or Client.<\/p><h5 data-section-id=\"176wbsa\" data-start=\"3835\" data-end=\"3871\">7. Direct Marketing and Invoicing<\/h5><p data-start=\"3873\" data-end=\"3973\">The provided infrastructure may enable the direct marketing of products and services via the system.<\/p><p data-start=\"3975\" data-end=\"3991\">In this context:<\/p><ul data-start=\"3993\" data-end=\"4282\"><li data-section-id=\"13ah07b\" data-start=\"3993\" data-end=\"4053\">Providers act in their own name and on their own account<\/li><li data-section-id=\"2b30th\" data-start=\"4054\" data-end=\"4133\">Prices, availability, and content are determined by the respective provider<\/li><li data-section-id=\"kc1bti\" data-start=\"4134\" data-end=\"4201\">Invoicing is carried out in the name of the respective provider<\/li><li data-section-id=\"161tzba\" data-start=\"4202\" data-end=\"4282\">Responsibility for compliance with legal requirements lies with the provider<\/li><\/ul><p data-start=\"4284\" data-end=\"4342\">The Contractor provides the technical infrastructure only.<\/p><h5 data-section-id=\"129g3tr\" data-start=\"4349\" data-end=\"4383\">8. Extensions and Modifications<\/h5><p data-start=\"4385\" data-end=\"4476\">The Contractor is entitled to further develop and improve the provided systems technically.<\/p><p data-start=\"4478\" data-end=\"4507\">This includes, in particular:<\/p><ul data-start=\"4509\" data-end=\"4668\"><li data-section-id=\"1emmb3u\" data-start=\"4509\" data-end=\"4544\">Expansion of existing functions<\/li><li data-section-id=\"1lw7v5g\" data-start=\"4545\" data-end=\"4582\">Improvement of system performance<\/li><li data-section-id=\"hafy0f\" data-start=\"4583\" data-end=\"4632\">Adaptation to technical or legal requirements<\/li><li data-section-id=\"psn4f7\" data-start=\"4633\" data-end=\"4668\">Integration of new technologies<\/li><\/ul><p data-start=\"4670\" data-end=\"4763\">Material changes affecting the agreed scope of services shall be coordinated with the Client.<\/p><p data-start=\"4765\" data-end=\"4827\">Additional services or extensions shall be offered separately.<\/p><p data-start=\"4765\" data-end=\"4827\">\u00a0<\/p><h5 data-section-id=\"129g3tr\" data-start=\"4349\" data-end=\"4383\">9. Rights of Use to Software<\/h5><p data-start=\"131\" data-end=\"288\">All rights to software, platform components, interfaces, data structures, system architecture, and any further developments shall remain with the Contractor.<\/p><p data-start=\"290\" data-end=\"454\">The Client shall receive, for the duration of the contract, a simple, non-exclusive, and non-transferable right to use the provided systems within the agreed scope.<\/p><p data-start=\"456\" data-end=\"561\">No transfer of ownership rights or exploitation rights to software or system components shall take place.<\/p><p data-start=\"456\" data-end=\"561\">\u00a0<\/p><h5 data-section-id=\"89yqhh\" data-start=\"4834\" data-end=\"4870\">10. Remuneration and Payment Terms<\/h5><p data-start=\"4872\" data-end=\"4957\">Remuneration shall be determined in accordance with the respective offer or contract.<\/p><p data-start=\"4959\" data-end=\"4983\">Unless otherwise agreed:<\/p><ul data-start=\"4985\" data-end=\"5170\"><li data-section-id=\"1y8v5ua\" data-start=\"4985\" data-end=\"5042\">Invoices are payable within 14 days without deduction<\/li><li data-section-id=\"zyhcn0\" data-start=\"5043\" data-end=\"5097\">Recurring services are invoiced monthly in advance<\/li><li data-section-id=\"z014fb\" data-start=\"5098\" data-end=\"5170\">One-time project services are invoiced according to project progress<\/li><\/ul><p data-start=\"5172\" data-end=\"5232\">In the event of late payment, the Contractor is entitled to:<\/p><ul data-start=\"5234\" data-end=\"5387\"><li data-section-id=\"bjovrc\" data-start=\"5234\" data-end=\"5271\">Charge statutory default interest<\/li><li data-section-id=\"p3okdi\" data-start=\"5272\" data-end=\"5336\">Restrict services until outstanding claims have been settled<\/li><li data-section-id=\"1w4swmo\" data-start=\"5337\" data-end=\"5387\">Claim additional reminder and collection costs<\/li><li data-section-id=\"1w4swmo\" data-start=\"5337\" data-end=\"5387\">\u00a0<\/li><\/ul><h5 data-section-id=\"hwnp7\" data-start=\"5394\" data-end=\"5421\">11. Data Protection and Data Security<\/h5><p data-start=\"6659\" data-end=\"6772\">The Contractor shall process personal data exclusively in accordance with applicable data protection regulations.<\/p><p data-start=\"6774\" data-end=\"6850\">The systems shall be operated in compliance with current security standards.<\/p><p data-start=\"6852\" data-end=\"6881\">This includes, in particular:<\/p><ul data-start=\"6883\" data-end=\"7008\"><li data-section-id=\"1afve50\" data-start=\"6883\" data-end=\"6925\">Protection against unauthorized access<\/li><li data-section-id=\"ygwtmn\" data-start=\"6926\" data-end=\"6950\">Regular data backups<\/li><li data-section-id=\"hgjfnd\" data-start=\"6951\" data-end=\"6979\">Secure data transmission<\/li><li data-section-id=\"h9o81j\" data-start=\"6980\" data-end=\"7008\">Role-based access rights<\/li><\/ul><p data-start=\"7010\" data-end=\"7082\">Where required, a separate data processing agreement shall be concluded.<\/p><h5 data-section-id=\"1cp5o0l\" data-start=\"7089\" data-end=\"7109\">14.
